TL;DR — If you own SK hynix in Seoul or as the SKHY ADR. Korea’s duplicate listing rule makes a listed parent run five steps for its own shareholders before it takes a subsidiary public, because a separate listing can shrink their stake in that business. On Oct. 22, Korea’s top financial regulator told lawmakers the rule covers overseas listings too, including a U.S. IPO of SK hynix’s American subsidiary, Solidigm. Before the Seoul open on Oct. 23, SK hynix said in a filing that it had stopped reviewing a Solidigm IPO; it cited “capital market conditions” and did not mention regulators.
Your Door — what to check if you hold SK hynix (KRX: 000660) or SKHY. The question of whether a Solidigm listing would dilute what you own through the parent is on hold after the company’s Oct. 23 filing. Your SKHY ADRs stand for SK hynix shares, so this is the same exposure. The next date is Wed., Oct. 28, 9:00 a.m. Seoul, when SK hynix reports third-quarter results (DART, Korea’s corporate disclosure system: DART 20261014800385). In August the company said it would give details of additional shareholder returns at the time of its third-quarter results (company statement reported by Korean press, Aug. 19), so watch for that and for anything it says about funding Solidigm. EWY holders: SK hynix is 21.85% of the fund (iShares, Oct. 21), so this reaches you only through that weight.

Korea’s duplicate listing rule and the parent shareholder’s slice
In Korea, a “duplicate listing” means a company that is already listed takes a subsidiary public separately. For the parent’s shareholders, the subsidiary was already inside the parent’s share price. When the subsidiary lists on its own and sells a stake to new investors, the parent shareholders’ claim on that business shrinks. It has long been cited as one reason for the “Korea discount,” the gap between Korean stock valuations and those elsewhere.
The Financial Services Commission (FSC, Korea’s top financial regulator) and the Korea Exchange put duplicate listing rules and guidelines into effect on Aug. 3, 2026, according to Korean press reports. As FSC Chairman Lee Eog-weon described them to lawmakers this week, the rules set out a process for the parent; they do not ban the listing. A parent that wants to list a subsidiary must carry out “five duties based on the duty of loyalty to shareholders” (our translation), meaning the board’s duty to act in shareholders’ interest. Korean outlets summarize the five this way; we have not yet checked them against the guideline text:
| # | What the parent company must do |
|---|---|
| 1 | Assess how the subsidiary listing affects the parent’s shareholders |
| 2 | Prepare measures to protect those shareholders |
| 3 | Communicate with shareholders |
| 4 | Have its board vote on whether to pursue the listing |
| 5 | Disclose whether it carried out these steps |

Solidigm is the U.S. company SK hynix set up after buying Intel’s NAND flash memory business in 2021. As we noted in August, the prospectus for SK hynix’s U.S. ADR already listed dilution from a subsidiary IPO as a risk; see the SK hynix ADR premium and Solidigm.
Oct. 19–23: five statements and one filing
| Date (KST) | Who | What they said or did | How sure |
|---|---|---|---|
| Mon., Oct. 19 | Lee Chan-jin, governor of the Financial Supervisory Service (FSS), at the National Assembly Political Affairs Committee audit | “Both the FSC and the FSS judge that it runs afoul of the duplicate listing rule.” On whether Solidigm must file a Korean securities registration: the FSC “is waiting to receive an official interpretation.” “We will do what we can to take appropriate measures,” and the FSS will pass its concerns to SK hynix “if there is an appropriate way” (our translation). | ✅ On the record (Etoday, Financial News, Aju Business Daily) |
| Mon., Oct. 19, afternoon | President Lee Jae-myung, press meeting at the presidential office | The government is “continually checking what needs to be done in policy” to normalize the stock market and will “soon receive a comprehensive report and take the necessary measures” (our translation). | ✅ On the record (SBS Biz, Yonhap); no measures announced as of Oct. 23 in what we found |
| Thu., Oct. 22, morning | Bank of Korea Monetary Policy Board | Held the base rate at 3.00%, its first hold after hikes in July and August; all seven members voted for it. | ✅ Decision / ⚠️ vote count press-reported |
| Thu., Oct. 22 | Bank of Korea Governor Shin Hyun-song (a former Princeton professor and chief economist of the Bank for International Settlements), press conference | The bank needs to “keep the current tight policy stance” until it is confident inflation is settling at target; on upside risks, “it is not too late to check more,” including third-quarter GDP and October prices; “consumption is temporarily adjusting because of the stock price correction” (our translation). | ✅ On the record (News1, Global Economic, JoongAng); the stock remark from News1 only |
| Thu., Oct. 22 | FSC Chairman Lee Eog-weon, National Assembly Political Affairs Committee audit | Asked whether a U.S. listing of Solidigm is a duplicate listing: “Yes. It is subject to the duplicate listing guideline.” SK Square (SK hynix’s own parent) and SK hynix, as parents, “must carry out the five duties based on the duty of loyalty to shareholders.” “It applies to all of them, whether the listing is overseas or domestic.” On a Korean registration filing: “Nothing has officially been announced as a listing, and there are no specifics yet” (our translation). | ✅ On the record (Sisa Journal, Digital Daily, Asia Economy, Hankyung) |
| Fri., Oct. 23, before the open | SK hynix (filing) | Decided to “stop reviewing a pre-IPO and IPO” of Solidigm (a pre-IPO is a private share sale before listing), “having comprehensively considered capital market conditions and other factors” (our translation). | ✅ Company filing, DART 20261023800002 |
The company’s newsroom statement went one line further than the filing. It said that “considering recent capital market conditions and the share price trend,” it judged it needed to reconsider whether an IPO now is the best choice for SK hynix and its existing shareholders, and that Solidigm’s growth prospects and investment needs are unchanged (Hankyung, Financial News). Both outlets report that the company did not mention regulators.
The regulators’ case, in their words
The FSC chairman put it this way: the duplicate listing guideline “applies to all of them, whether the listing is overseas or domestic,” and SK Square and SK hynix “must carry out the five duties based on the duty of loyalty to shareholders.” The FSS governor said the judgment is shared by both agencies, and that whether Solidigm needs a Korean registration filing awaits a separate official interpretation. In the regulators’ framing, the aim is to protect the parent’s shareholders from dilution, and the rule spells out where the process applies: wherever a subsidiary lists, the parent’s shareholders get an assessment and an explanation first, and the parent’s board has to vote.
The record on whether the words stopped the IPO
The order of events. The FSS governor spoke on Oct. 19, the FSC chairman on Oct. 22, and the filing came before the open on Oct. 23. In between, on Oct. 20, SK hynix and SK Square each fell more than 6% at some point in the session (intraday), and on Oct. 21 about 3,000 minority shareholders organized collective action, according to Korean press reports. Lawmakers, including Park Sung-hoon and Ahn Cheol-soo, criticized the IPO plan publicly the same week.

The prices. On filing day, SK hynix dropped as low as ₩1,171,000 during the session and closed at ₩1,277,000 (about $964), up 4.42%. SK Square closed at ₩775,000, up 3.20%. KOSPI rose 0.30% to 5,550.30. In New York on Oct. 23, SKHY rose 4.05% to $137.02; that U.S. session came after the Seoul filing. For the week, SK hynix closed 0.39% above its Oct. 16 close of ₩1,272,000.
The cause. The filing and the newsroom statement gave capital market conditions and the share price trend as reasons. They did not cite regulation. In what we found, nothing separates how much the regulators’ words, the shareholder backlash, or SK hynix’s October slide (about 31% for the month as of Oct. 20, per Korean press) each contributed. The FSC’s interpretation on a Korean registration filing has not been published.
So the review has stopped, according to the DART filing, and the regulators’ reading that the rule covers overseas listings is on the record, but the company’s stated reasons do not include those words. The next evidence is what SK hynix says about Solidigm funding and shareholder returns at its Oct. 28 results.
The Bank of Korea held at 3.00% and kept a tight tone
The week’s other statement from Seoul came from the central bank. The Monetary Policy Board kept the base rate at 3.00% on Oct. 22. Bond-market surveys before the meeting expected a hold (see our week-ahead note from Oct. 20). The decision was expected, but the governor’s remarks were hawkish.
- Governor Shin recalled describing the August hike with a Korean proverb: the bank used a hoe on a problem that would otherwise have needed a spade. He said “this hold is the fruit of that hoe work” (our translation). In our reading, acting early and in a small step bought time.
- “Growth and inflation are in some respects even stronger than in August,” so the tight stance stays. The final rate “does not necessarily have to follow the level the market expects” (our translation).
- September consumer prices rose 2.9% from a year earlier (3.1% in August, Reuters), still above the 2% target.
- On stocks, he said consumption is temporarily adjusting because of the price correction (News1). He also suggested that with more people investing, the wealth effect may be larger than before (our paraphrase).
- On the won, he said it is “still undervalued by a considerable margin compared with the historical average” and that the high exchange rate in early summer “had a quite abnormal side” (our translation). The won closed at ₩1,324.6 per dollar at 3:30 p.m. on Oct. 23, down from the mid-₩1,500s in June (JoongAng).
Even in a week of sharp market drops, the press coverage we checked showed no signal of a cut. The next decision is Thu., Nov. 26, and the data the governor named are third-quarter GDP and October inflation.
What we could not confirm this week
- The president’s “necessary measures” for the stock market: we found no announcement of their content in reports through Oct. 23.
- Whether Solidigm must file a Korean securities registration (the FSC’s interpretation): not published.
- The Bank of Korea’s three-month forward guidance (how many board members left a hike open): not reported in the four outlets we checked. We will not use it until we have checked the decision statement and press conference transcript.
- The U.S. Treasury currency report: the last one we have is from July 2026, which kept Korea on the monitoring list. We did not find a new report this week.
- Remarks on Korea from Japan’s Ministry of Finance or the Federal Reserve: not covered this time.
On Seoul’s reading, a U.S. IPO by a Korean company’s subsidiary runs through a shareholder rule
Under the Gat (our take). “On the regulators’ reading, the FSC chairman’s Oct. 22 line, ‘it applies whether the listing is overseas or domestic,’ puts a U.S. IPO by the subsidiary of a Korean large cap inside the five-step process for parent shareholders. In what we found, SK hynix is the first company this reading has been applied to; on Oct. 23 it stopped its review, citing market conditions.”
For holders of the parent, through KRX shares or the SKHY ADR, the rule is a check on dilution. For investors who hoped a subsidiary listing would unlock value, that path has narrowed. We do not take a side on which matters more.
Owning SK hynix from the U.S., and the closest American comparison
- Ways in: SK hynix shares directly on the KRX (through a broker that offers Korean stocks, such as Interactive Brokers), or the SKHY ADR on Nasdaq (see how to buy SK hynix stock from the U.S.). For the whole Korean market, EWY closed at $151.26 on Oct. 23 (U.S. trading day). The duplicate listing rule is an obligation of the Korean parent company. Where your account sits does not change it.
- U.S. comparison: it is common for large U.S. companies to list a subsidiary separately; these are called carve-out IPOs. We know of no U.S. federal rule that requires a parent to run a process for its own shareholders before such a listing. American shareholders mainly rely on lawsuits after the fact, arguing that directors breached their fiduciary duty. Not a perfect parallel: the U.S. route is litigation after the fact, while Korea’s five duties are a process the parent must run before it lists.
Next checkpoints, Oct. 28 to Nov. 26
| Date (KST) | Event | What to look for |
|---|---|---|
| Wed., Oct. 28, 9:00 a.m. | SK hynix third-quarter results (DART 20261014800385) | Anything on Solidigm funding; whether the additional shareholder returns flagged in August are announced |
| Thu., Oct. 29, 3:00 a.m. | U.S. Federal Reserve statement (Oct. 28, 2:00 p.m. ET) | The gap with Seoul’s rate path |
| Thu., Nov. 26 | Bank of Korea rate decision | The first decision after third-quarter GDP and October inflation |

The bottom line
On Oct. 19 the FSS governor said Solidigm’s listing runs afoul of Korea’s duplicate listing rule; on Oct. 22 the FSC chairman said the rule applies whether the listing is overseas or domestic. Before the open on Oct. 23, SK hynix stopped reviewing a Solidigm IPO and cited market conditions. The same week, the Bank of Korea held at 3.00% and said it would keep policy tight. The next date that may show whether the words shaped the decision is Oct. 28, when SK hynix reports.
FAQ
Did SK hynix cancel the Solidigm IPO?
In an Oct. 23 filing, SK hynix said it decided to stop reviewing a pre-IPO and IPO of Solidigm, citing capital market conditions and other factors (DART 20261023800002). In its newsroom statement, the company said Solidigm’s growth prospects and investment needs are unchanged.
Does Korea’s duplicate listing rule apply to listings outside Korea?
FSC Chairman Lee Eog-weon told the National Assembly on Oct. 22 that it applies whether the listing is overseas or domestic. Whether a Korean securities registration is required is a separate interpretation that had not been published as of Oct. 23.
Does the rule ban subsidiary listings?
According to the chairman, no. The parent must carry out five duties based on its duty of loyalty to shareholders: assess the effect on its shareholders, prepare protection measures, communicate with shareholders, hold a board vote and disclose that it did these things, as Korean outlets summarize them.
What did the Bank of Korea decide in October 2026?
It held the base rate at 3.00% on Oct. 22, its first hold after hikes in July and August. Governor Shin Hyun-song said the bank would keep its tight stance. The next decision is Nov. 26.
Does this affect SKHY ADR holders?
The rule is an obligation of the Korean parent, SK hynix. SKHY is a U.S.-listed security tied to SK hynix common shares, so any dilution question reaches SKHY holders through the same company.
