SK Hynix Has Three Rumors on Korea’s Public Record

Three different rumors — a Chongqing stake sale, a Japan fab, a Solidigm pre-IPO — are circling SK Hynix. In Korea, all three became official documents. With deadlines. And none of them is a confirmed deal.

The short answer

SK Hynix — the largest holding in EWY, a US-listed Korea ETF — currently has three separate rumors sitting on Korea’s public record. A press report that it is moving to sell a stake in its Chongqing packaging plant in China. A report that it will build a semiconductor plant in Japan. A report that Solidigm, its US subsidiary, is pursuing a roughly ₩5 trillion pre-IPO raise.

Between August 5 and September 9 — 35 days — those three rumors generated seven filings on DART, Korea’s official disclosure system: two demands from the Korea Exchange (KRX), and five responses from the company. The five responses all say the same thing: “undetermined.” Under review, nothing decided.

What should feel foreign to a US investor is not the rumors. America has rumors. It is that in Korea, a rumor becomes a regulatory document — the exchange names the specific press report, demands a public answer by that same evening, and when the company answers “undetermined,” the answer comes with a date for the next filing. The rumor, the question, the non-answer and the follow-up deadline all get receipt numbers and stay public forever.

Korean readers followed all seven documents in real time. In English, as far as we can tell, almost none of this surfaced.

What this means for EWY holders

SK Hynix is EWY’s largest holding — 24.16% (iShares official holdings, as of September 11). One dollar of every four in your ETF rides on this company. Its three open rumors now carry published follow-up dates: September 18, December 3, December 8. That calendar is not press speculation — it is written inside the filings themselves.

1. The machine — two routes that turn a rumor into a filing

One provenance note before the mechanics: every filing discussed here was read in full from the DART originals, not from press summaries. Quotes are our translations.

Korea has two standing routes that convert market talk into official paper.

Route one: the inquiry disclosure demand (johoe gongsi). When a press report moves the market, the Korea Exchange can order the listed company to answer it publicly. The demand itself is a public filing, and it names the report — in this case, literally: “report that SK Hynix is pushing to sell a stake in its roughly ₩4 trillion Chongqing plant”; “report that it will build a semiconductor plant in Japan.” The clock is short. The August 10 demand was stamped 10:10 AM; the answer was due 6 PM the same day.

Route two: the clarification filing. A company files its own response to a press report, with no exchange demand on record. These, too, name the report, the outlet and the date — the Solidigm filings cite the Korea Economic Daily, August 5, by name.

Both routes allow three answers: true, not true, or undetermined. The third is the interesting one. It is not a dodge; it is the only honest answer a company can give about a deal it is genuinely still weighing — declaring an unfinished negotiation “confirmed” would itself be a false disclosure. But “undetermined” has a price: the filing must state a re-disclosure date. Decide by then, or file again.

2. The timeline — 35 days, three rumors, seven filings

All prices in this article are 3:30 PM KST regular-session closes on the KRX, in won. Today’s close of ₩1,759,000 is roughly $1,300 — converted at ₩1,345.9 per dollar, the September 11 Seoul close, our latest confirmed rate; treat the dollar figure as approximate.

How to read it: the circled numbers mark which rumor a filing belongs to, not the order of rows — and this is not one story escalating. It is three unrelated rumors, each running on its own clock. The September 4 filing has nothing to do with the August 21 demand — it is the Solidigm thread keeping the date it promised on August 5. The September 9 filing is not a new question — it is the Chongqing thread keeping the date it promised on August 10. Each thread kept its date, answered “undetermined” again, and received a new date.

The company’s wording barely changes across all five responses, and it is worth reading once in full — this is the September 9 Chongqing answer (our translation): “The company is reviewing various options to strengthen the competitiveness of its packaging business, but nothing has been determined at this time. We will disclose again when specifics are decided, or within three months.”

3. Reading the stock without cherry-picking an anchor

It is tempting to hang one dramatic number on this window. We will not, because the number depends entirely on where you plant the anchor. From the first filing (August 5), the stock is up 5.5% as of today. From the first exchange demand (August 10) — which also happens to be the lowest close of the window — it is up 23.9%. The honest sentence is this one: while five “undetermined” filings were being stamped, the closing price ranged from ₩1,420,000 (Aug 10) to ₩1,856,000 (Sept 9) — a 30.7% spread, low close to high close.

What caused those moves, this article does not claim to know. Memory-cycle news, currency and the broader index all moved over the same weeks, and we did not obtain investor-flow data. The filings and the price sit on the same calendar; that is all we assert.

Today’s tape, for reference only: KOSPI — Korea’s benchmark index — closed at 6,717.97, up 1.37%, with SK Hynix up 4.08%. And no, we are not connecting this to the Federal Reserve: the Fed statement lands at 2 PM Wednesday in Washington, which is 3 AM Thursday in Seoul — today’s Seoul close came eleven and a half hours before it.

4. The machine America doesn’t have

The SEC’s disclosure system runs on settled events. Agree to an acquisition, file an 8-K. Close the quarter, file a 10-Q. There is no standing federal mechanism that orders a company to publicly answer a rumor by dinner time. The NYSE and Nasdaq do contact companies over unusual trading, and companies sometimes respond with a press release — but that conversation typically lives in phone calls, not in a permanent public docket.

The difference is not whether anyone asks. It is whether the asking leaves a document. In Korea, the demand is a filing, the answer is a filing, and the clarification is a filing — each with a receipt number. That is why “this company has three open rumors” is not an impression here. It is a countable fact with seven receipt numbers.

Not a perfect parallel: an inquiry system that accepts “undetermined” guarantees paperwork, not information — seven filings produced exactly zero confirmed facts about any of the three deals. And US exchanges do ask; the record-keeping differs, not the curiosity.

5. What this buys you — a published calendar for a company you own

Here is the lens this event opens on the Korean market: in Korea, even what a company has not said comes with a date attached.

A US investor has no way to see a company’s silence — silence produces no documents. Korea’s system attaches documents to silence: a record that the exchange asked, a record that the company would not confirm or deny, and a record of when it must speak again. Which means the only thing officially determined about SK Hynix’s three rumors right now is, paradoxically, a schedule:

  • September 18 — the Japan-fab thread’s re-disclosure date (two days after this article)
  • December 3 — the Solidigm thread
  • December 8 — the Chongqing thread

On each date, the company either files specifics or files “undetermined” again — either way, there will be a document. That is the takeaway for an EWY holder: not the identity of any rumor, but a public calendar telling you when the next official word on a quarter of your ETF is due.

6. Three ways to misread this

Misread one: “undetermined” means something is happening. It also covers deals that get reviewed and quietly dropped. It is a record that the company did not deny — not a signal that anything will close.

Misread two: seven filings means seven pieces of information. The confirmed business content across all seven is zero. What accumulated is paperwork, not fact.

Misread three: the filings explain the stock. We did not obtain the data that could support that claim, and we do not make it.

The takeaway

Korea’s market has a machine that turns rumors into official documents. Three rumors about SK Hynix are in that machine right now; 35 days produced seven filings, and all five answers said “undetermined.” Nothing about the deals themselves is settled. What is settled is when the next documents are due: September 18, December 3, December 8. For a company that is a quarter of EWY, knowing where that calendar is published is worth your time — and we will be reading the September 18 filing the morning it lands.

Update — September 18: the Japan filing landed

We said we would read the September 18 filing the morning it arrived. It arrived, and the answer had not changed: SK Hynix told the exchange it is “reviewing various options including additional production sites to strengthen the competitiveness of its memory business, but nothing has been determined at this time” (our translation). That is the same wording as the August 21 answer, on the same rumor.

What did change is the calendar. The Japan thread’s next re-disclosure date is now December 17 — pushed out three months. So the three deadlines that were September 18, December 3 and December 8 are now December 3 (Solidigm), December 8 (Chongqing) and December 17 (Japan). Six filings answered “undetermined,” zero confirmed facts, and the whole open question now sits inside one December fortnight.
